Section 5 - Products or Services

The products and services offered by Amàla may be available exclusively online through the website and may be subject to limited availability. Returns and replacements are governed by our Shipping & Returns Policy, in accordance with the rights granted to consumers under applicable law. We endeavour to represent the characteristics, colours and images of the products displayed on our website as accurately as possible. However, the appearance of colours may vary depending on the settings and characteristics of the screen used. Such variations shall not affect consumers' rights in the event of a lack of conformity. Amàla jewellery includes products from the Collection, available in the variants indicated on the website, and Bespoke creations, made to order according to the customer's individual specifications. Product characteristics, including those relating to lab-grown diamonds, are set out in the relevant product descriptions and any documentation provided at the time of purchase. We reserve the right to restrict the sale of our products or services in certain geographical areas or jurisdictions, in accordance with applicable law. We may also limit the quantities available for each product for legitimate reasons and on a non-discriminatory basis. Product descriptions and prices may be updated at any time without prior notice. Any changes shall not affect orders for which a contract has already been concluded. We also reserve the right to discontinue the sale of any product, without prejudice to contractual obligations already undertaken. Products sold through the website are subject to the guarantees required by applicable law. FL Diamonds Srl does not provide any additional commercial guarantees unless expressly stated in writing.

Section 6 - Accuracy of Billing and Account Information

We reserve the right to refuse, restrict or cancel orders in circumstances permitted by applicable law, including, without limitation, product unavailability, manifest errors in order information, reasonable suspicion of fraud, payment irregularities or breaches of these Terms & Conditions. We may limit the quantities purchased per person, household or order, including purchases made through the same customer account, using the same payment card or the same billing or shipping address, for legitimate reasons and in accordance with applicable law. In the event that an order is refused, modified or cancelled, we will notify you using the contact details provided at the time of purchase. Where payment has already been received for an order that has not been accepted or has been lawfully cancelled, any amounts due will be refunded in accordance with applicable law. We also reserve the right to restrict or refuse orders which, on the basis of objective evidence, appear to be intended for unauthorised commercial resale, to the extent permitted by law. You agree to provide accurate, complete and up-to-date information relating to your purchases, billing details and customer account, and to promptly notify us of any changes necessary for the proper processing of orders and deliveries. For further information, please refer to our Shipping & Returns Policy.

Section 7 - Optional Tools

We may provide you with access to third-party tools and features over which we may not exercise direct or complete control. You acknowledge and agree that such tools are made available under the terms and conditions established by their respective providers, without any additional commercial guarantees from us, except as required by applicable law. Your use of optional third-party tools is at your own risk, to the extent permitted by law. We encourage you to review the terms and conditions applicable to third-party services before using them. We may introduce new services and features through the website in the future, including additional third-party tools. Such features shall be subject to these Terms & Conditions and, where applicable, to the specific terms and conditions of their respective providers. Nothing in this section shall affect the mandatory rights granted to users and consumers under applicable law.

Section 8 - Third-party Links

Certain content, products and services available through our website may include materials or links to third-party websites that are independent of FL Diamonds Srl. We do not exercise direct control over the content, accuracy of information or terms and conditions applicable to such external websites and accept no liability for their content, products or services, to the extent permitted by applicable law. Any purchases or transactions made directly through third-party websites are subject to the terms and conditions of their respective providers. We encourage you to review these carefully before entering into any transaction. Any complaints or enquiries relating to products or services purchased directly from such third parties should be addressed to the respective providers, without prejudice to any rights granted by law.

Section 9 - Comments, Feedback and Other Submissions

If you submit comments, suggestions, ideas, proposals or other materials through our website or communication channels, you represent that you have the right to submit such content and that it does not infringe any third-party rights or violate applicable law. We reserve the right to use comments and suggestions received for purposes related to the management of our Service and the improvement of our offering, in accordance with applicable law and intellectual property rights. Any publication or promotional use of content that may identify individual customers shall be subject to the applicable rights and any necessary authorisations. Materials submitted in connection with requests for Bespoke creations, including photographs, drawings and personal designs, shall be used for purposes related to the relevant request, in accordance with any specific agreements and applicable confidentiality obligations. We reserve the right to monitor, edit or remove, to the extent permitted by law, content published through our website that is unlawful, offensive, defamatory, misleading or infringes the rights of third parties. You must not submit content containing viruses, malware or other harmful elements, use false identities or provide deliberately misleading information. Users are responsible for the content they submit, to the extent provided by applicable law. We are under no obligation to respond to unsolicited suggestions or proposals, except as required by law or specific agreements.

Section 10 - Personal Information

The processing of personal information provided through our website is governed by our Privacy Policy.

Section 11 - Errors, Inaccuracies and Omissions

Occasionally, information published on our website or through the Service may contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, offers, shipping costs, delivery times or product availability. We reserve the right to correct such errors, inaccuracies or omissions by modifying or updating the information available on our website at any time without prior notice. In the event of manifest errors, including obvious pricing or availability errors, we reserve the right to refuse or cancel orders where permitted by applicable law, including after an order has been submitted. Where an order is lawfully cancelled after payment has been made, we will refund any amounts due. We are under no obligation to continuously update the content of our website, except as required by law. Any dates indicating when content was last updated shall not constitute a guarantee that all information has been reviewed, corrected or updated. Nothing in this section shall affect the mandatory rights of consumers or the contractual obligations already undertaken by FL Diamonds Srl.

Section 12 - Prohibited Uses

In addition to the other prohibitions set out in these Terms & Conditions, you are prohibited from using the website or its content:

(a) for any unlawful or unauthorised purpose;
(b) to encourage others to commit or participate in unlawful acts;
(c) to violate any applicable laws, regulations or other legal provisions;
(d) to infringe or violate the intellectual or industrial property rights of FL Diamonds Srl or third parties;
(e) to harass, abuse, insult, threaten, defame, intimidate or discriminate against others in violation of applicable law;
(f) to provide false, fraudulent or misleading information;
(g) to upload or transmit viruses, malware or other harmful code that may compromise the operation of the Service or other computer systems;
(h) to collect, use or monitor the personal information of other users without authorisation;
(i) to engage in spam, phishing, scraping or other unlawful or unauthorised online activities;
(j) to distribute unlawful, obscene or otherwise prohibited content;
(k) to interfere with, compromise or circumvent the security features of the Service or any system connected to it.

In the event of a breach of these provisions, we reserve the right to restrict, suspend or terminate access to the Service, to the extent permitted by applicable law and without prejudice to any other rights or remedies available under the law.

Section 13 - Intellectual Property

Amàla is a registered European Union trademark. The Amàla name, logo, distinctive signs, content, images, photographs, texts, graphic elements and other materials available on the website are owned by FL Diamonds Srl or used under the necessary authorisations and are protected by applicable intellectual and industrial property laws. Unless expressly permitted by law or authorised in writing by the respective rights holder, the unauthorised reproduction, distribution, modification, publication, commercial exploitation or any other unauthorised use of such elements is prohibited. Designs, projects and creative solutions independently developed by FL Diamonds Srl, including those created in connection with Bespoke creations, shall remain the property of the company to the extent provided by applicable law, without prejudice to any written agreements with the customer or third-party rights. The purchase of an Amàla product does not transfer to the customer any intellectual or industrial property rights relating to the trademark, designs or other protected elements, except as expressly provided by law or agreed in writing.

Section 14 - Disclaimer of Warranties; Limitation of Liability

We do not guarantee that your use of our Service will always be uninterrupted, timely, secure or error-free, nor that the results obtained through its use will always be accurate or reliable. We reserve the right to temporarily suspend, modify or discontinue the Service for technical, operational, maintenance or security reasons, including without prior notice where circumstances so require, in accordance with applicable law and without prejudice to any rights arising from contracts already concluded. To the extent permitted by law, FL Diamonds Srl shall not be liable for any interruptions, malfunctions or unavailability of the website resulting from circumstances not attributable to the company, including issues affecting communication networks, computer systems or services provided by third parties. FL Diamonds Srl shall not be liable, to the extent permitted by applicable law, for indirect damages, loss of profits, loss of revenue or other financial consequences arising from the use of, or inability to use, the Service, where such losses are not attributable to a breach of contract or conduct by the company for which liability cannot lawfully be excluded or limited. These limitations shall not apply in cases of wilful misconduct or gross negligence, nor shall they affect the statutory guarantee of conformity of products, the mandatory rights of consumers or any other liabilities that cannot be excluded or limited under applicable law.

Section 15 - Indemnification

Purchases Made by Consumers (B2C)
In relationships with consumers, users shall be liable, to the extent provided by applicable law, for damages arising from unlawful conduct, breaches of these Terms & Conditions or infringements of third-party rights attributable to them. Where such conduct gives rise to claims or demands for compensation against FL Diamonds Srl, the company reserves the right to seek compensation for damages actually suffered, including reasonable and documented legal costs, insofar as such costs are recoverable under applicable law. Nothing in this section shall affect the mandatory rights granted to consumers under applicable law.

Purchases Made by Businesses and Professionals (B2B)
In relationships with customers acting in the course of their business, trade, craft or professional activities, the customer agrees, to the extent permitted by law, to indemnify and hold harmless FL Diamonds Srl, its directors, employees and collaborators against damages, losses, liabilities and third-party claims directly arising from breaches of these Terms & Conditions, unlawful conduct or infringements of third-party rights attributable to the customer. The indemnification obligation includes reasonable and documented legal costs, to the extent that such costs have actually been incurred and are recoverable under applicable law. The indemnification obligation shall not extend to damages arising from conduct attributable to FL Diamonds Srl or circumstances in which the customer's liability is excluded by law.

Section 16 - Severability

If any provision of these Terms & Conditions is found to be unlawful, void or unenforceable, such provision shall be ineffective to the extent required by applicable law, without affecting the validity and enforceability of the remaining provisions, which shall continue to apply to the extent permitted by law.

Section 17 - Termination

The termination or expiry of these Terms & Conditions shall not affect any rights, obligations or liabilities accrued by either party prior to the date of termination, which shall remain enforceable to the extent permitted by applicable law. Any provisions which, by their nature, are intended to survive termination shall also remain in effect, to the extent permitted by law and where applicable, including those relating to intellectual property, liability and indemnification.

Section 18 - Contract Formation, Orders and Payments

The products available on the Amàla website are presented with their respective characteristics, variants and prices. Before making a purchase, customers are required to carefully review the details of the selected product, ring size, any personalisation options, billing information and delivery address. Submitting an order through the website constitutes an offer to purchase by the customer. The sales contract is concluded when FL Diamonds Srl sends an order confirmation to the email address provided by the customer during checkout. We reserve the right to refuse an order for legitimate reasons, including product unavailability, failure to authorise payment, reasonable suspicion of fraud or manifest errors in product information or pricing, in accordance with applicable law. If an order is not accepted, the customer will be notified using the contact details provided, and any amounts already charged will be refunded without undue delay, in accordance with applicable legal requirements. Payments must be made using the payment methods available at checkout. Transactions are processed through the respective payment service providers, in accordance with their applicable terms and security measures. Prices displayed on the website are expressed in the currency shown and include applicable taxes, as indicated before the purchase is completed. Any shipping charges or additional costs will be disclosed before the order is submitted. For purchases made by businesses or professionals, customers are required to provide complete and accurate billing information. The applicable tax treatment will be determined in accordance with relevant legislation. Requests for Bespoke creations shall be governed by the specific conditions communicated to the customer, including the agreed specifications, price, payment arrangements and estimated production and delivery times. Any special conditions must be accepted before the relevant contract is concluded.

Section 19 - Shipping, Delivery and Transfer of Risk

Products purchased through the Amàla website are shipped using logistics providers specialising in the transportation of luxury goods, selected by FL Diamonds Srl. All shipments are insured for the full value of the jewellery until delivery, subject to the terms and conditions of the applicable insurance coverage. Deliveries are made exclusively to destinations available at checkout. Shipping and delivery times indicated on the website are estimates, unless specific deadlines have been expressly agreed or are required by applicable law. FL Diamonds Srl shall not be liable for delays resulting from unforeseeable circumstances or events not attributable to the company, to the extent permitted by law and without prejudice to the mandatory rights of consumers. For purchases made by consumers, the risk of loss of or damage to the product passes to the customer when the customer, or a third party designated by the customer other than the carrier, takes physical possession of the jewellery, in accordance with applicable law. Customers are encouraged to inspect the condition of the packaging upon delivery and promptly report any visible damage, irregularities or signs of tampering to Amàla Customer Service. Such notification is not a condition for exercising any rights granted by law. In the event of non-delivery, loss or damage during transportation, FL Diamonds Srl shall handle the relevant claim and fulfil its obligations in accordance with applicable law and the contractual terms in force.

Section 20 - Right of Withdrawal, Returns and Personalised Products

Right of Withdrawal for Consumers
Pursuant to Articles 52 et seq. of Italian Legislative Decree No. 206/2005 (Italian Consumer Code), customers purchasing as consumers have the right to withdraw from a distance sales contract without providing any reason within 14 days from the date on which they, or a third party designated by them other than the carrier, take physical possession of the product, subject to the exceptions provided by law. To exercise the right of withdrawal, consumers must notify FL Diamonds Srl of their decision by means of an unequivocal statement sent before the expiry of the statutory withdrawal period, using the contact details provided in these Terms & Conditions.

Return of Products and Refunds
Where the right of withdrawal has been validly exercised, consumers must return the product within 14 days of notifying their decision to withdraw, in accordance with the procedures set out in our Shipping & Returns Policy. Products must be returned with due care, preferably in their original packaging and accompanied by all documentation and accessories received. The absence of the original packaging shall not automatically result in the loss of the right of withdrawal. Consumers shall be liable for any diminished value of the product resulting from handling beyond what is necessary to establish its nature, characteristics and functioning, in accordance with Article 57 of the Italian Consumer Code. The direct costs of returning products following the exercise of the right of withdrawal shall be borne by the customer, provided that the customer has been duly informed before the conclusion of the purchase. The return procedures, including any insured collection arrangements organised by FL Diamonds Srl, are governed by our Shipping & Returns Policy. FL Diamonds Srl shall bear any costs required by applicable law in the event of a lack of conformity of the product. FL Diamonds Srl shall refund the amounts due within the time limits prescribed by applicable law, using the same payment method employed for the original transaction, unless otherwise agreed in accordance with the law. Where permitted by law, reimbursement may be withheld until the returned product has been received or until the consumer has provided evidence of having sent it back.

Personalised Jewellery and Bespoke Creations
Pursuant to Article 59(1)(c) of the Italian Consumer Code, the right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalised. This exclusion applies to Bespoke creations made according to the customer's individual specifications and to Collection jewellery featuring personalised engravings, where the applicable legal requirements are met. The mere selection of standard variants available on the website, such as ring size, carat weight or gold colour, does not automatically exclude the right of withdrawal. Any exclusion of the right of withdrawal shall be communicated to the customer before the purchase is concluded.

Purchases Made by Businesses and Professionals
The statutory right of withdrawal provided under Articles 52 et seq. of the Italian Consumer Code does not apply to purchases made by customers acting in the course of their business or professional activities. Any returns or cancellations relating to such purchases shall be subject to the conditions expressly agreed with FL Diamonds Srl, without prejudice to any rights provided by applicable law.

Statutory Guarantee
Any exclusion of the right of withdrawal shall not affect rights arising from the statutory guarantee of conformity, which also applies to personalised products and Bespoke creations where required by law.

Section 21 - Statutory Guarantee of Conformity

Statutory Guarantee for Consumers
Pursuant to Articles 128 et seq. of Italian Legislative Decree No. 206/2005 (Italian Consumer Code), products sold by FL Diamonds Srl to customers acting as consumers are covered by the statutory guarantee of conformity for a period of 24 months from delivery. FL Diamonds Srl is liable for any lack of conformity existing at the time of delivery that becomes apparent within this period, in accordance with applicable law. In the event of a lack of conformity, consumers are entitled, subject to the conditions established by law, to have the product brought into conformity through repair or replacement, free of charge. Where provided by law, consumers may request a proportionate price reduction or termination of the sales contract. The statutory guarantee also applies to personalised jewellery, engraved products and Bespoke creations, regardless of any applicable exclusion of the right of withdrawal.

Characteristics of Diamonds and Jewellery
The characteristics of Amàla diamonds and jewellery are described in the relevant product pages and in any documentation provided at the time of purchase. The characteristics expressly stated, including those relating to lab-grown diamonds, form part of the contractual information relevant to assessing product conformity.

Exclusions and Limitations of the Guarantee
The statutory guarantee does not cover damage resulting from improper use, accidental impacts, normal wear and tear, or maintenance, repair, alteration or resizing carried out by the customer or third parties not authorised by FL Diamonds Srl, where such damage is not attributable to a lack of conformity existing at the time of delivery. FL Diamonds Srl shall not be responsible for the costs of repairing, restoring or replacing damage caused by such interventions, to the extent permitted by applicable law. Customers are encouraged to inspect the jewellery upon receipt and report any visible damage or irregularities, preferably within 48 hours of delivery, by contacting Amàla Customer Service. This timeframe is indicative only and does not constitute a condition for exercising rights under the statutory guarantee of conformity.

Customer Assistance
To report a potential lack of conformity, customers may contact Amàla Customer Service at info@amaladiamonds.com, providing their order number and a description of the issue, together with photographs where appropriate. FL Diamonds Srl will provide the necessary instructions for assessing the product and handling the request, in accordance with consumers' statutory rights.

Purchases Made by Businesses and Professionals
For purchases made by customers acting in the course of their business or professional activities, rather than as consumers, the provisions of the Italian Civil Code concerning warranties for defects in goods sold shall apply, subject to the conditions and limitations established by law.

Protection of Statutory Rights
Nothing in these Terms & Conditions shall limit or exclude the mandatory rights granted to consumers under applicable Italian and European law.

Section 22 - Governing Law and Disputes

These Terms & Conditions and the sales contracts concluded through the Amàla website shall be governed by Italian law, without prejudice to the mandatory rights granted to consumers under applicable legislation, including any mandatory provisions of the law of the consumer's country of habitual residence.

Disputes with Consumers (B2C)
For disputes arising from contracts concluded with customers acting as consumers, jurisdiction and territorial competence shall be determined in accordance with the mandatory provisions of applicable law, including, where applicable, the courts of the consumer's place of residence or domicile.

Disputes with Businesses and Professionals (B2B)
For disputes arising from contracts concluded with customers acting in the course of their business or professional activities, the Courts of Milan, Italy, shall have exclusive jurisdiction, unless otherwise required by mandatory provisions of law.

Alternative Dispute Resolution
Customers may contact FL Diamonds Srl at info@amaladiamonds.com regarding any complaints or requests for clarification. The right to use alternative dispute resolution (ADR) mechanisms available under applicable law shall remain unaffected, subject to the relevant legal requirements and procedures.

Section 23 - Amendments to the Terms & Conditions

FL Diamonds Srl reserves the right to update, modify or supplement these Terms & Conditions at any time by publishing the updated version on the website. Any amendments shall take effect from the date of publication, unless otherwise stated, and shall apply to orders for which a contract is concluded after that date. Orders for which a contract has already been concluded shall remain governed by the Terms & Conditions in force at the time the relevant contract was concluded, without prejudice to any effects arising from mandatory provisions of law. The most recent version of these Terms & Conditions shall always be available on the Amàla website.

Section 24 - Seller Information and Contact Details
